Terms
Scope. OFFLINE provides remote administrative and customer-service support. The specific responsibilities, systems and communication arrangements are agreed in writing before work begins, and that written scope governs the engagement.
Hours. Monthly arrangements include an allocation of 10, 20, 30 or 40 hours depending on the arrangement. Hours describe the capacity the work realistically requires; they are not a task quota and are not counted against a stopwatch. Unused hours do not roll over unless agreed in writing. If volume consistently exceeds the allocation, the scope and fee are reviewed rather than exceeded without discussion.
Additional work. Anything outside the agreed scope is quoted before it proceeds, or charged at the ad-hoc hourly rate by agreement.
Fees and payment. Fees are quoted in Australian dollars and invoiced monthly in advance unless agreed otherwise. Any change to fees is given reasonable notice in writing.
Minimum term and ending an arrangement. Monthly arrangements carry a three-month minimum so that processes can be established and documented properly. After that they continue month to month and either party may end them with 30 days written notice. Ad-hoc work carries no ongoing commitment. On ending, work in progress is completed or handed back in an orderly state, and access is revoked.
Your responsibilities. You provide timely access to the systems the work requires, a single point of contact for decisions, and accurate information. OFFLINE is not responsible for delays or errors arising from access not being granted or information not being provided.
What OFFLINE does not provide. OFFLINE is not an accountant, registered tax agent, bookkeeper of record, financial adviser or legal adviser, and does not provide accounting, tax, financial or legal advice. Financial administration means preparing, reconciling and organising records — not advising on them, and not replacing your accountant. OFFLINE also does not provide social media management, content creation or marketing services; customer enquiries are answered wherever they arrive, including social platforms, which is a customer-service function rather than social media management.
Confidentiality. Client information and business operations are treated confidentially. An NDA can be signed before access is granted.
Liability. OFFLINE takes reasonable care in performing the work. To the extent permitted by law, liability is limited to re-performing the affected work or refunding the fee paid for it. Nothing here excludes rights that cannot be excluded under Australian Consumer Law.
Governing law. These terms are governed by the law of Australia.
These terms are written in plain language for clarity and are confirmed in writing at onboarding.
